These Terms of Service ("Terms") govern your access to and use of the Schedesk platform ("Service"), operated by Schedesk ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Schedesk is a workplace management platform that provides desk booking, office attendance tracking, vacation and PTO management, lunch coordination, and team collaboration tools for hybrid workplaces. The Service includes web applications, APIs, and integrations with third-party services such as Slack.
3. Account Registration
To use the Service, you must create an account with accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that violate these Terms or that contain inaccurate information.
4. Subscription and Payment
Schedesk offers a paid subscription service. By subscribing, you agree to the following:
- Subscription fees are billed on a recurring basis (monthly or annually) as selected at the time of purchase
- A free trial period may be offered; if you do not cancel before the trial ends, your subscription will automatically begin
- All fees are non-refundable except as required by applicable law or as otherwise stated in our refund policy
- We reserve the right to change pricing with reasonable advance notice
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Service or its related systems
- Interfere with or disrupt the integrity or performance of the Service
- Upload or transmit viruses, malware, or any harmful code
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to store or transmit content that infringes on third-party intellectual property rights
- Resell, sublicense, or redistribute the Service without our written consent
6. Data and Content
You retain ownership of all data you submit to the Service ("Your Data"). By using the Service, you grant us a limited license to use, process, and store Your Data solely for the purpose of providing the Service to you.
We will handle Your Data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable.
7. Intellectual Property
The Service, including its design, code, features, and documentation, is owned by Schedesk and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.
8. Third-Party Integrations
The Service may integrate with third-party services (e.g., Slack, Google, Stripe). Your use of these integrations is subject to the respective third party's terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.
9. Service Availability and Modifications
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make commercially reasonable efforts to notify you of material changes.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Schedesk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of or inability to use the Service.
Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Schedesk and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
12. Termination
Either party may terminate the agreement at any time. You may cancel your subscription through your account settings. We may suspend or terminate your access if you violate these Terms or fail to pay applicable fees.
Upon termination, your right to use the Service ceases immediately. We will retain Your Data for a reasonable period to allow you to export it, after which it will be deleted in accordance with our data retention policy.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Schedesk operates, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
